By accessing the professional services or digital platforms provided by Succeed HQ Innovations ("the Agency"), you agree to comply with and be bound by the following terms and conditions.

1. Service Description

Succeed HQ Innovations is a premier software development agency providing expert digital solutions, including but not limited to:

Custom Enterprise Software Development
Mobile Application Development (iOS & Android)
Game Development and Interactive Experiences
High-Performance Website Development
Strategic Digital Marketing
Email Marketing and Automation

2. Project Engagement & Payment Terms

Engagement on all projects is structured around clear milestones to ensure transparency and delivery excellence:

Standard Projects: Require a 50% upfront deposit before project commencement, with the remaining 50% due upon final project completion and delivery.
Enterprise Solutions: For large-scale projects, a 3-milestone structure applies: 40% initial deposit, 30% upon mid-point delivery (as defined in the project scope), and 30% upon final handover.

Work will only commence once the required deposit has been confirmed. All payments are non-refundable except where specifically agreed upon in writing for unstarted phases.

3. Intellectual Property (IP) Ownership

The Agency maintains full ownership of all source code, assets, and intellectual property developed during the project until full and final payment has been received. Upon receipt of final payment, ownership and property rights of the custom-developed software/assets transfer entirely to the Client, subject to any third-party licenses or frameworks used.

4. Confidentiality & Non-Disclosure

Succeed HQ Innovations is committed to protecting your proprietary information. We warrant that we will not disclose client project details, business logic, sensitive data, or proprietary information to third parties without prior written consent. This confidentiality obligation survives the termination of any service agreement.

5. Project Warranty & Maintenance

We warrant that all delivered software will be free of critical defects for a period of 30 days following the official launch or handover. During this period, the Agency will resolve any critical bugs at no additional cost. Following this 30-day window, ongoing support and updates are covered under a separate, mutually agreed-upon maintenance agreement.

6. Limitation of Liability

Succeed HQ Innovations shall not be held liable for any indirect, incidental, or consequential damages (including profit loss or data loss) arising from the use of our services or potential downtime of delivered software. Our total liability is limited to the amount paid for the specific service phase in question.

7. Governing Law & Jurisdiction

These terms are governed by the laws of the Federal Republic of Nigeria. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts in Lagos State, Nigeria.
